Change your limited partnership details
You must notify the Office of Fair Trading when your partnership's details change, including winding up or cancelling your registration.
This page details what form to fill in and lodge with us when you make a change, and whether a fee is payable or not.
Limited liability partnership (LLP)
Change your LLP details
To notify us of a change in your LLP’s details, you must:
- fill out the change of details relating to LLP form
- attach all your documentation
- pay the required fee
- lodge the form with us.
You will not need to renew your registration. It will remain in effect until your LLP stops operating.
Dissolve your LLP registration
If your LLP ceases business, you must:
- fill out the dissolve or cease an LLP form
- make sure that all general partners sign the form
- pay the required fee
- lodge the form with us.
Incorporated limited partnership (ILP)
Change your ILP details
To notify us of a change in your ILP’s registered details, you must:
- fill out the change of details relating to ILP form
- attach all your documentation
- pay the required fee
- lodge the form within 7 days.
You will not need to renew your registration. It will remain in effect until your ILP stops operating.
Advise us of a change of status
You will need to tell us if the Australian Government grants you the status of:
- a venture capital limited partnership (VCLP)
- an early stage venture capital limited partnership (ESVCLP)
- an Australian venture capital fund of funds (AFOF).
You will also need to tell us if your ILP starts operating as a venture capital management partnership (VCMP).
To do this, you must:
- fill out either
- the change of status of an ILP form
- the notice of becoming a VCMP form and attach a statement that your ILP is a VCMP
- pay the required fee
- lodge the form within 1 month.
Cancel your ILP registration
If your ILP ceases business, you must:
- fill out the cessation of business by an ILP form
- make sure that all required parties sign the form (follow the partnership agreement)
- pay the required fee
- lodge the form with us.
If your ILP ceases to be a VCMP, you must:
- fill out the notice of cessation as VCMP form
- pay the required fee
- lodge the form within 7 days.
Revoke your ILP registration
You must notify us if the Australian Government revokes your registration as:
- a VCLP
- an ESVCLP
- an AFOF.
To do this, you must:
- fill out the notice of revocation as VCLP form
- pay the required fee
- lodge the form within 7 days.
Wind up your ILP
If your ILP winds up, you must:
- fill out the wind up ILP form
- lodge the form within 7 days.
No fee is required.
Completion of winding up your ILP
If your ILP has completed winding up, up must:
- fill out the completion of winding up ILP form
- lodge the form within 7 days.
No fee is required.
