Register a limited partnership
You do not need to register a partnership unless it is:
- a limited liability partnership (LLP)
- an incorporated limited partnership (ILP).
Limited liability partnership (LLP)
A limited liability partnership is a business with 2 or more people which limits the liability of the limited partners. It must have at least 1 general partner and at least 1 limited partner.

To register:
- fill out this registration form (this is not the same form as below)
- make sure that all partners (limited and general) sign the form
- attach all your documentation
- pay the required fee
- lodge the form with us.
Incorporated limited partnerships (ILPs)
An ILP is a more complex agreement between partners.

You can only apply to be an incorporated limited partnership if you are:
- a venture capital limited partnership (VCLP)
- an early stage venture capital limited partnership (ESVCLP)
- an Australian venture capital fund of funds (AFOF)
- a venture capital management partnership (VCMP)
- intending to be any of the above.
To register:
- fill out this registration form (this is not the same form as above)
- make sure that all partners (limited and general) sign the form, or have an authorised person sign for them
- attach all your documentation
- pay the required fee
- lodge the form with us.
